PROPOSED CONSTITUTIOW-l-, FOR THE ROCKY RIVER DEMOC= RATIC CLUB
ARTICLE I Organization
The name of the organization shall be the Rocky Riv= er Democratic Club and shall be known as the official Democratic Club in the C= ity of Rocky River, Ohio.
ARTICLE II Purpose
The purposes of the club are:
To spread knowledge of the principles and functions= ,of the Democratic Party;
to encourage and foster intelligent, progressive, a= nd patriotic leadership; to actively support the platforms, programs, principl= es and candidates endorsed by the Democratic Party, Cuyahoga County, the State= of Ohio, and the United States of America.
ARTICLE III Membership
Membership in this organization shall be open to all residents. of Cuyahoga County in the State of Ohio, who support the Constitution of the United States of America,
the Constitution of the State of Ohio, and the Constitution and By-Laws of this organ- ization. No person may be a member = or may vote on any motion, resolution, nomination or election at any meeting w= ho does not meet the aforesaid qualifications or who is a member of any other political party at that time.
ARTICLE IV Officers
officers of this organization shall be President, Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer. All members of the club, in good standing, shall be eligible for club offic= e.
ARTICLE V
Quorum
Five percent (5%) of the dues paying membership of = record of the club shall constitute a quorum for the ordinary business meetings an= d for the election of officers. Only those members in good standing (current dues paid) shall be eligible to vote.
ARTICLE VI Executive Board
The Executive Board shall consist of the President, Vice-President, Recording Secretary, Corresponding Secretary, Treasurer, and any other member invited by the President as a non-voting member, such as t= he Ward Leader. The President shall be chairman of the Board. The Board shall meet.in the interim between regular business meetings to conduct business that,requires immediate action.
ARTICLE VII Meetings
SECTION 1. A minimum of six (6) meetings shall be h= eld annually.
SECTION 2. The organization shall hold its regular business meetingson the last Tuesday of the month at 8:00 P.M.
SECTION I. The "Club" year and the fiscal= year for this organization shall
begin on the first day of June and shall end on the= last day of May of the following year.
ARTICLE VIII Rules of Order
This organization shall be guided by Robert's Rules= of Order on any questions of Parliamentary procedure when they are not specifically provided for in this con- stitution or by-laws.
ARTICLE IX Dues
The annual membership dues shall be determined by t= he Executive Board subject to ratification by a majority vote of the members present at a regular meeting.
ARTICLE X Amendments
This constitution or by-laws may be amended by a two-thirds.vote of those mem- bers present and in good standing, at a regul= ar meeting, provided notice of the amend-
ments shall have been given at the previous regular meeting of the club orally and in
writing.
ARTICLE XI
Previous Constitution and By-Laws
This constitution and by-laws supersedes any and all other previous constitu-
tions and by-laws of the Rocky River Democratic Clu= b and shall take effect immediately upon its adoption.
PROPOSED BY-LAWS FOR THE ROCKY RIVER DEMOCRATIC CLU= B
ARTICLE I Duties of the Officers
SECTION 1. The President shall preside at all regul= ar business meetings and Executive Board meetings; shall.act in the place of a= ny other officer who is absent
or otherwise unable to act; shall enforce the obser= vance of the Constitution, By-Laws and Rules of Order of this club and shall be charged with all other duties incidental
to this office in accordance with Robert's Rules of Order. The President shall appoint any and all committees that are deemed necessary.
SECTION 2. The Vice-President shall.perform all.dut= ies of the President whenever the President is absent or unable to act.
SECTION 3. The Recording Secretary shall keep minut= es of all the proceedings of regular business meetings and perform such other dut= ies incidental to this office.
SECTION 4. The Corresponding Secretary shall have c= harge of the correspondence
of the Club. Timely notice shall be mailed to each = member of regular business meetings.
SECTION 5. The Treasurer shall collect all dues of = club members and all other monies and funds which are received by the club. The Treasurer shall make a financial report at each regular meeting. The Treasu= rer shall also present an annual written report to the Executive Board at its f= irst meeting of each club year for the previous fiscal year. The Treasurer shall= be in charge of all disbursement of club funds. The Treasurer shall obtain app= roval of the President for any ordinary and routine expenses not to exceed $100.0= 0. Other expenditures shall require the.approval of the Executive Board.
ARTICLE II
Election of Officers
SECTION 1. The terms of office of the officers of t= he Rocky River Democratic
Club shall be for a period of two years, unless oth= erwise removed in accordance with these By-Laws, which terms shall commence at,the= May meeting in theyear of the election.
SECTION 2. During the odd numbered years, the Presi= dent will appoint a nominating committee, which will present its report at the M= arch meeting, or in written form,
mailed to each member of the club before the April meeting of the odd numbered years.
SECTION 3. All nominations for officers of this-cl<= span style=3D'mso-spacerun:yes'> ub shall be made at the April meeting of the odd numbered years. Both the nominating committee's nominations and nominations from the floor will be voted on.
SECTION 4. The voting process for said officers sha= ll take place at the April meeting of the odd numbered years. The vote shall be taken by secret ballot or by
show of hands. The method of voting shall be determ= ined by a motion made at the meeting.
SECTION 5. A majority of votes cast shall constitut= e a choice.
SECTION 6. Newly elected officers shall be sworn in= at the May meeting of the odd numbered years.
SECTION 7. Qualification for candidacy shall be membership in good standing, a resident of Rocky River, and a registered Democrat.

ARTICLE IV
Removal from Office
Failure to perform duties of the office as stated in Article I of the By-Laws or failure to regularly attend meetings of the Club can-be cause for removal from office by a majority vote of the membership at the next regular business meeting after written notice of such charges are presented to the Club and officers.
ARTICLE V Vacancies
The Executive Board shall, by a majority vote, repl= ace any officer upon removal, resignation or death, until the next regular scheduled business meeting, atwhich meeting an.election shall,be held.to replace said officer who will serve for the balance of the unexpired term. =
ARTICLE VI
Speakers at Club Meetings
All candidates who are registered Democrats- and ru= nning for Public Office
shall be permitted to speak at all club meetings. However, in cases where more than one such candidate seeks to speak, that candidate.who has been endorsed by the Democratic Party for Cuyahoga County= , shall have priority in time.
ARTICLE VII Membership
A member in good standing shall be defined as curre= nt dues paid, when current
dues shall be due each June at the beginning of the= club year and payable by the end of the calendar year.
