CONSTITUTION

THE ROCKY RIVER DEMOCRATIC CLUB

ARTICL= E I. Organization <= /o:p>

The name of the organization shall be the Rocky River Democratic C= lub (the “Club”) and shall be known as the official Democratic club= in the City of Rocky River, Ohio.

ARTICLE II. Purpose<= /span>

The purposes of the Club are: To spread knowledge of the principles and functions of the Democratic Party; to encourage and foster intelligent, progressive, and patriotic leadership; and to actively support the platform= s, programs, principles and candidates endorsed by the Democratic Party, Cuyah= oga County, the State of Ohio, and the United States of America.

ARTICLE III. Members= hip

Membership in the Club shall be open to all residents of Cuyahoga County in the State of Ohio, who support the Constitution of the United Sta= tes of America, the Constitution of the State of Ohio, and the Constitution and By-Laws of this organization. No person may be a member or may vote on any motion, resolution, nomination or election at any meeting who does not meet= the aforesaid qualifications or who is a member of any other political party at that time.

ARTICLE IV. Officers=

Officers of the Club shall be President, Vice-President, Secretary= and Treasurer. All members of the Club, in good standing, shall be eligible for Club office.

ARTICLE V.= Quorum

Five percent (5%) of the dues paying membership of record of the C= lub shall constitute a quorum for the ordinary business meetings and for the election of officers. Only those members in good standing (current dues pai= d) shall be eligible to vote.

ARTICLE VI. Executive Board

The Executive Board shall consist of the President, Vice-President, Secretary, Treasurer, the Ward Leader, and any other member invited by the President or Ward Leader as a non-voting member. The President shall be chairman of the Board. The Board shall meet during the interim between regu= lar business meetings to conduct business that, requires immediate action.

ARTICLE VII. Meetings of the Club

SECTION 1. A minimum of six (6) meetings shal= l be held annually.

SECTION 2. The organization shall hold its re= gular business meetings on the last Tuesday of the month at 8:00 P.M.<= /span>

SECTION 3. The "Club" year and the = fiscal year for this organization shall be from January 1 to December 31.

ARTICLE VIII. Rules = of Order

This organization shall be guided by Robert's Rules of Order on any questions of Parliamentary procedure when they are not specifically provided for in this constitution or by-laws.

ARTICLE IX. Dues

The annual membership dues shall be determined by the Executive Bo= ard subject to ratification by a majority vote of the members present at a regu= lar meeting.

ARTICLE X. Amendment= s

This constitution may be amended by a two-thirds vote of those mem= bers present and in good standing, at a regular meeting, provided notice of the amendments shall have been given at the previous regular meeting of the Club orally and in writing.

ARTICLE XI. Previous Constitution and By-Laws

This constitution and by-laws supersedes any and all other previous constitutions and by-laws of the Rocky River Democratic Club and shall take effect immediately upon its adoption.

ARTICLE XII. By-Laws= .

The day-to-day operations and details for the election and removal= of officers shall be controlled by the By-Laws of the Club. In the event of any conflict betwe= en the provisions of the By-Laws and the provisions of this Constitution, the provisions of this Constitution shall control.
